Terms of Service

Please read these terms carefully before using Sage Accounting.

1. Service Description

Sage Accounting ("the Service," "we," "us") is cloud-based accounting software provided as a subscription service (Software as a Service). The Service is hosted on Railway.app, a third-party cloud infrastructure provider. By subscribing to or using the Service, you ("Customer," "you") agree to these Terms of Service in full.

2. Fees & Payment

  • Monthly subscription: $47/month, billed monthly
  • Annual subscription: $470/year, billed annually
  • One-time setup fee: $197 (required for all new customers) — covers technical deployment, custom subdomain configuration, and a 2-hour onboarding session
  • All fees are billed in USD via Stripe. Subscriptions renew automatically unless cancelled.
  • The setup fee is non-refundable once the 2-hour onboarding session has been completed.

3. Service Availability & Third-Party Infrastructure

The Service is hosted on Railway.app infrastructure. Sage Accounting makes no warranty regarding uptime, availability, or performance. We are not liable for service interruptions, outages, slowdowns, or data loss caused by Railway.app or any other third-party infrastructure provider.

You acknowledge that temporary unavailability is outside our control and does not constitute a breach of these Terms. For Railway.app's current status, visit status.railway.app.

4. Data Ownership & Customer Responsibility

  • You own all financial data you enter into the Service.
  • You are solely responsible for managing user access — who can log in, what they can view, and what they can modify.
  • You are responsible for maintaining the security of your administrator credentials and all user accounts.
  • Sage Accounting does not access your financial data except as necessary to provide technical support, and only with your explicit permission.
  • We are not responsible for data entered incorrectly, data deleted by authorized users, or data loss due to third-party infrastructure failure.
  • You are responsible for maintaining your own data backups. Automated backups provided by Railway.app are a courtesy and do not constitute a guarantee of data recovery.

5. Financial & Tax Disclaimer

The Service is a financial record-keeping tool only. Sage Accounting does not provide tax advice, tax preparation, tax filing services, or any regulated financial services.

  • We do not guarantee that reports generated by the software satisfy any tax authority requirement or regulatory standard.
  • We are not responsible for tax penalties, interest, fines, or regulatory issues arising from your use of the software.
  • You are solely responsible for ensuring your financial records comply with applicable tax laws and regulations.
  • You should consult a qualified CPA or tax professional for all tax-related decisions.

6. Audit Disclaimer

The Service's "self-audit" and audit alert features are automated monitoring tools designed to flag potential issues in your financial records. These features:

  • Do not constitute a formal audit, review, or compilation of financial statements
  • Do not guarantee compliance with GAAP, FASB, or any other accounting standard
  • Are not a substitute for a professional audit by a licensed CPA or auditing firm
  • May not detect all errors, fraud, or irregularities

Organizations requiring formal financial audits should engage a licensed CPA or auditing firm independently.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAGE ACCOUNTING'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SAGE ACCOUNTING BE LIABLE FOR: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, or data; losses arising from third-party infrastructure (Railway.app) outages or failures; tax penalties, fines, or interest arising from your financial records; or audit findings or non-compliance with applicable laws.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sage Accounting, its owner, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any applicable law or regulation
  • Any claim by a third party arising from your financial records or reports generated by the Service
  • Any tax, audit, or regulatory proceeding related to your financial data
  • Any unauthorized access to your account resulting from your failure to maintain credential security

9. Refunds & Cancellation

  • Monthly plan: Cancel anytime. No refund for the current billing period.
  • Annual plan: 30-day money-back guarantee from the date of purchase. After 30 days, no refunds for the remaining subscription term.
  • Setup fee: Non-refundable once the 2-hour onboarding session has been completed. If onboarding has not yet occurred, a full refund of the setup fee may be requested within 7 days of payment.

10. Modifications to Terms

Sage Accounting reserves the right to modify these Terms at any time. We will provide at least 30 days' written notice of material changes via email to the address on your account. Continued use of the Service after the notice period constitutes acceptance of the updated Terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
